MANAGING PARTNER

Milanda Manjengwah is a Partner in the Commercial and Financial Services Group. She joined the Firm in 2005 and has 21 years of legal experience. She served as the Managing Partner from 2019 to 2025.

Milanda is an expert in corporate law, spanning business formation, mergers and acquisitions, banking and finance, capital markets, corporate restructurings, joint ventures, public-private partnerships, regulatory compliance, insolvency, and general business law advisory work. She advises local, regional, and international clients on complex corporate, commercial, and financial transactions and has advised on significant corporate and financial transactions in Zimbabwe.

She assists clients with the business life cycle from a corporate law perspective, including identifying the appropriate legal structure, preparing constitutive documents, subscription and shareholder agreements, contract drafting and review, business transactions, regulatory compliance, restructurings, corporate rescue, and insolvency.

Her experience in mergers and acquisitions includes deal structuring, due diligence, preparing the legal documentation, compliance and closing. She also forms part of the team which advises a leading multilateral financial institution on trade finance transactions in Zimbabwe. Milanda advises lenders, borrowers, banks, and financial institutions in financial transactions, including trade and project finance, and assists with structuring, drafting and reviewing lending agreements, security documents, exchange control, closing and general compliance.

She is knowledgeable about the capital markets landscape and securities laws in Zimbabwe. Her experience includes advisory work on stock exchange listing requirements, general regulatory compliance, company listing and delisting and capital raising. She has served as an Independent Non-Executive Director of a Zimbabwe Stock Exchange-listed financial services institution.
